The vessel, named as Chisti Shohag, went down off Chittagong port after unloading steel coils from the 28,000-dwt Japanese bulker Ipanema (built 2008).
The cause was not immediately clear, according to port officials.
The smaller vessel had loaded 1,683 tonnes from the bulker, which had arrived from Hong Kong.
Chisti Shohag is owned by Yunus and Sons.
