Spanish media said the trawler Mar de Marin came into contact with the 3,175-vehicle capacity Baltic Breeze (built 1983) in the estuary of the Vigo river early on Tuesday.
Five other crew were rescued from the sinking boat.
Three bodies were recovered from the water, but a Ghanaian and a Spaniard were unaccounted for.
Baltic Breeze was en route from Gibraltar to load cars in Vigo.
