Judge Lord Kinclaven handed down a £650,000 ($1.1m) fine after ruling there were shortcomings in the application of the Port Marine Safety code.
In a case heard at the High Court in Edinburgh the judge also found key staff had not received suitable training to adequately fulfil their roles.
The case dated to the Flying Phantom tragedy of 2007 when the tug capsized in the Clyde River.
