The owner confirmed 61 people were on board the 341-gt Kea (built 1988) on Tuesday.
New Zealand police said the cause was likely to be mechanical failure, but Fullers said details were still emerging.
"We will be conducting our own investigation and working with the Maritime Safety Authority to determine what happened," it said in a statement.
