The price for 100% of Mojo Maritime Limited (MML) could rise to £3.5m if pre-tax earnings are £0.65m or more in 2015.
Mojo was founded in Falmouth ten years ago by its CEO Richard Parkinson.
It is involved in design, installation methods and project planning aimed at reducing the risk and cost of working offshore.
MML has struck an agreement with the selling shareholders through which they have a 33% share in licence fees for the construction of up to 10 vessels for offshore wind farm construction and maintenance.
